按照您的指示，在来泰国之前去了“焦耐院”（已搬迁至大连）。与“焦耐院”热工站高兴锁站长和涂宏工程师就双方于2012年7月份签订的《焦炉烘炉技术服务合同》的有关事宜进行了商谈，其情况如下：

一、“焦耐院”高站长提出：在正式确定点火烘炉的日期后，他们将安排一名技术人员于“点火”之日的前15天到达泰国现场，开展前期准备工作；另外两名技术人员于“点火”之日的前5天左右到达泰国现场。“俊安”须于第一名技术人员到达泰国之日的前20个工作日书面通知“焦耐院”安排焦炉烘炉技术服务人员准备赴泰国。

二、“焦耐院”高站长强调：他们外派出国的技术人员按照院里面的规定一律使用《因公护照》。

三、“焦耐院”涂工提示：他们从国内发运到泰国现场的烘炉仪表，“俊安”需妥善保管，不得短缺或损坏。

四、依据《焦炉烘炉技术服务合同》，“焦耐院”负责焦炉烘炉方案。

涂工介绍：泰国项目的焦炉烘炉方案已于2012年在泰国现场编制完成，并进行了烘炉的技术培训和应急事故的演练。

“俊安”商谈人员提出：

1、“焦耐院”需对2012年编制的焦炉烘炉方案再进行最后的修订，在烘炉方案的封面要有编制人、审核人和批准人的签名并加盖“焦耐院”相关技术印章。

2、焦炉烘炉方案中除技术方面的篇章之外，还需有“环保”和“安全”等两个单独的篇章，对焦炉烘炉过程中的环保和安全进行描述。

3、考虑到焦炉烘炉方案要报送泰国政府相关部门，烘炉方案中的“环保”和“安全”等两个篇章需翻译成英文。

“焦耐院”高站长同意完成上述工作，完成时间约需15天。

五、依据《焦炉烘炉技术服务合同》，“焦耐院”安排三名技术人员到现场进行相关工作，现场工作时间为4个月。

“焦耐院”涂工回顾说：按照“俊安”的通知和要求，“焦耐院”已于2012年至2013年曾安排一名技术人员在泰国现场工作将近4个月时间。

在谈到合同规定的“焦耐院”技术人员现场服务时间是否够用时，“焦耐院”涂工讲到：如果四座焦炉同时点火烘炉，那么合同剩余的技术服务时间肯定够用。考虑到四座焦炉同时烘炉用气高峰时LPG供应的压力，建议两座焦炉为一组错开15-20天的点火时间。这样的安排合同剩余的技术服务时间也是够用的。

“焦耐院”高站长表示，如果确实合同规定的技术人员现场服务时间超期的话，双方再友好协商吧。

六、双方商定，《焦炉烘炉技术服务合同》中的付款条款不做调整。


5 合同价格及付款方式

5.1 技术服务费总额为：人民币210万元（大写贰佰壹拾万元整）；

5.2 技术服务费由甲方按以下方式支付乙方。具体支付方式和时间如下：

5.2.1 合同生效15天内支付人民币60万元整（大写陆拾万元整）；

5.2.2 前两座焦炉投产后5天内支付人民币70万元整（大写柒拾万元整）；

5.2.3 后两座焦炉烘炉结束后支付人民币70万元整（大写柒拾万元整）；

5.2.4 后两座焦炉投产运行一个月内内支付人民币10万元整（大写壹拾万元整）。
